Agreement between: User and WEAUDITION Inc. www.weaudition.com.
WEAUDITION Inc. provides web-based and mobile software to help actors and performing arts industry professionals to connect through video-chat and other methods, for rehearsing, auditioning, coaching and networking.
WeAudition is a monthly subscription service. Access costs $14.99 per month or $149 per year, and will renew automatically each month on that day, unless you cancel. The service starts immediately upon payment and continues for 1 month, or one year per payment. Your subscription is NOT for an audition or employment offer, it is for access to the WeAudition software only.
After cancellation, you will continue to have access until the end of the paid period.
You can cancel anytime online in your account — no emails, calls, or hoops.
Pursuant to California state law AB1319, WEAUDITION has posted a $50,000 bond with the Labor Commissioner issued by Western Surety Company, Bond Number 71932590WEAUDITION INC IS A TALENT LISTING SERVICE, TALENT COUNSELING SERVICE AND TALENT TRAINING SERVICE. THIS IS NOT A TALENT AGENCY CONTRACT. ONLY A TALENT AGENT LICENSED PURSUANT TO SECTION 1700.5 OF THE LABOR CODE MAY ENGAGE IN THE OCCUPATION OF PROCURING, OFFERING, PROMISING, OR ATTEMPTING TO PROCURE EMPLOYMENT OR ENGAGEMENTS FOR AN ARTIST. WEAUDITION INC IS PROHIBITED BY LAW FROM OFFERING OR ATTEMPTING TO OBTAIN AUDITIONS OR EMPLOYMENT FOR YOU. IT MAY ONLY PROVIDE YOU WITH TRAINING, COUNSELING, OR LISTING INFORMATION. FOR MORE INFORMATION, CONSULT CHAPTER 4.5 (COMMENCING WITH SECTION 1701) OF PART 6 OF DIVISION 2 OF THE LABOR CODE. A DISPUTE ARISING OUT OF THE PERFORMANCE OF THE CONTRACT BY THE TALENT SERVICE THAT IS NOT RESOLVED TO THE SATISFACTION OF THE ARTIST SHOULD BE REFERRED TO A LOCAL CONSUMER AFFAIRS DEPARTMENT OR LOCAL LAW ENFORCEMENT, AS APPROPRIATE.
YOUR RIGHT TO CANCEL. You may cancel this contract at any time.
How to Cancel
To cancel a card subscription contract, go to /account/subscription.php, click the red cancel button AND CONFIRM. To cancel a WeAudition subscription created via Apple subscriptions, cancel using your device. To cancel a PayPal subscription, log into your PayPal account and cancel there.

CAN I GET A REFUND?
It is your responsibility to cancel or pause your subscription before it renews.
If it is LESS THAN 10 business days from the date you FIRST SUBSCRIBED and you would like to cancel and delete your account and all your data we offer a full refund, without any penalty or obligation. Please contcat us. Note this is ONLY within the first 10 business days from your sign up date. For purposes of this section, business days are Monday through Friday. All other cancellations must be via the subscription page on the website /account/subscription.php.
Your subscription will automatically be renewed. If you cancel within the first 10 days from when you FIRST SUBSCRIBED, all fees you have paid will be refunded to you within 10 business days after delivery of the cancellation notice to the talent service. NO REFUNDS after 10 business days.
Your profile and any info you upload may remain on the system unless you request to delete this immediately.

BY USING THIS WEAUDITION WEBSITE, INCLUDING THE SERVICE (AS DEFINED BELOW) EMBODIED IN THE WEBSITE (COLLECTIVELY, THE “APPLICATION”), YOU (THE “USER”) ACCEPT THESE TERMS OF USE (“TERMS”). THESE TERMS CONSTITUTE A BINDING AGREEMENT, GOVERNING USE OF THE APPLICATION, BETWEEN USER AND WEAUDITION (WEREHEARSE INC), INCLUDING ITS SUBSIDIARY, RELATED, AND AFFILIATED COMPANIES (INDIVIDUALLY OR COLLECTIVELY “WEAUDITION OR WEREHEARSE”). BY DOWNLOADING, INSTALLING, OR USING THE APPLICATION, USER ACKNOWLEDGES AND AGREES TO BE BOUND BY THESE TERMS. SHOULD USER NOT ACKNOWLEDGE AND AGREE TO THESE TERMS, USER MUST IMMEDIATELY DISCONTINUE USE OF THE APPLICATION. CONTINUED USE OF THE APPLICATION SIGNIFIES YOUR CONTINUED ACCEPTANCE OF THESE TERMS AND ANY CHANGES TO THEM.
WeAudition has zero tolerance for objectionable content such as hate speech, harassment, nudity or any other act deemed as 'offensive' by another user or WeAudition staff. At our discretion we will block and delete users who we believe have breached the stated terms and conditions. To report inappropriate behaviour please flag content in the app or email: admin@weaudition.com'.
WeAudition provides online software, profiles and video technology to allow Customers to connect to Providers via live video and chat for the purpose of rehearsing and honing their craft (the “Service”).
Only individuals sixteen (16) years of age or older may use the Application. Users between the ages of sixteen (16) and eighteen (18) must review these Terms with a parent or legal guardian to ensure the parent or legal guardian acknowledge and agree to these Terms. Should User’s parent or legal guardian not acknowledge and agree to these Terms, users must immediately discontinue use of the Application.
These Terms incorporate and supplement our Privacy Policy.
Should any provisions in the terms, conditions, or other policies listed above conflict with these Terms, these Terms will control, solely to the extent such provisions apply to the Application.
Subject to these Terms, WeAudition grants the User a personal, non-exclusive, non-transferable, non-sublicensable, limited and revocable license to use the Application for personal use in accordance with these Terms (“User License”). Any use of the Application in any other manner, including, without limitation, resale, reverse-engineering, disassembling, redistribution, transfer, modification or distribution of the Application or text, pictures, music, barcodes, video, data, hyperlinks, displays, and other content associated with the Application (“Content”) is prohibited. This Agreement and User License also governs any updates to, or supplements or replacements for, this Application unless separate terms accompany such updates, supplements or replacements, in which case the separate terms will apply.
The license is effective until terminated by you or WeAudition, with or without written notice. Your rights under the User License will terminate automatically without notice from WeAudition if you fail to comply with any Terms or terms of the User License. Upon termination of the license, you shall cease all use of the Application and destroy all copies, full or partial, of the Application.
A customer (the “Customer”) may use the Application to schedule rehearsals with partners. (Each referred to as a “Provider”). The Customer and Provider are each referred to as a User in the Terms.
WeAudition does not participate in the provision of advice or the creation of the content of any services offered by a third-party Provider, and does not represent or endorse and will not be responsible for: (a) the reliability or performance of any third-party Provider; (b) the safety, quality, accuracy, reliability, integrity or legality of any services offered or provided by a third-party Provider; or (c) the truth or accuracy of the description of any services offered or provided by a third-party Provider, or of any advice, opinion, offer, proposal, statement, data or other information provided by a third-party Provider displayed, distributed, or purchased through the Application.
WeAudition disclaims all liability for the actions, errors or omissions of third-party Providers.
Although WeAudition may in some instances attempt to verify certain information provided by Providers, WeAudition has no obligation to do so and makes no representations regarding the accuracy of such verification. It is the Customer’s responsibility to verify the identity, qualifications and status of a Provider.
Application features, such as mobile payments, feedback, account management, and interaction with social media sites, may use, maintain, or transmit User’s personal information, including, without limitation, user names, passwords, proper names, email address, address, location, financial information (including credit card information), GPS location information, and information for and from third-party social-media accounts (collectively “User Information”). By acknowledging and agreeing to this Agreement, or by using the Application, User consents to the transmission of User Information to WeAudition, including its agents and third-party partners, and consents to WeAudition, including its agents and third-party partners, receiving, collecting, storing, processing, transmitting, and using User Information for Application functionality and for the purposes disclosed in one or more of the Privacy Policies identified in this Agreement.
The User is, however, solely responsible for the confidentiality and security of User Information sent from or stored on their personal devices by the Application. The User is also solely responsible for all transactions and activities undertaken by anyone or anything registered in the User’s name, whether authorized or unauthorized. The User agrees to immediately notify WeAudition of any suspected unauthorized transactions associated with the Application or any other breach of security. WeAudition shall not be responsible for any losses arising from the financial loss or theft of User Information due to unauthorized or fraudulent transactions related to the Application. Users shall be solely responsible for taking precautionary steps to protect User Information stored on their personal devices, including without limitation password-protecting such devices.
You agree that WeAudition, its service providers and/or others involved in creating or providing the Application may collect and use technical data and related information—including but not limited to technical information about your device, system and application software, and peripherals—that is gathered periodically to facilitate the provision of software updates, product support, and other services to you (if any) related to the Application. WeAudition, its service providers, and/or others involved in creating or providing the Application may use this information, as long as it is in a form that does not personally identify you, to improve the Application or to provide services or technologies to you.
Use of the Application is limited to the contemplated functionality. The Application shall not be used in any way that,
WeAudition reserves the right, in its sole discretion, to terminate any User License, remove Content, assist law enforcement in the prosecution of criminal liability, or assert a civil or criminal legal action with respect to Content or use of the Application, that WeAudition reasonably believes is or might be in violation of these Terms, but failure or delay in taking such actions does not constitute a waiver of its rights to enforce these Terms.
The User may generate content, written or otherwise, while using the Application (“User-Generated Content”). User-Generated Content shall belong to User and User shall retain all ownership over such User-Generated Content. Notwithstanding the foregoing, User acknowledges and agrees that User-Generated Content may be used, reproduced, displayed, modified, deleted, added too, adapted, and published by WeAudition.
WeAudition may disclose to customers or other third parties information regarding User’s aggregate activity on WeAudition (for example, how often and how soon Provider’s respond to Customer messages on average, the number of repeat Customers that a Provider has, the average duration of each rehearsal sessions, feedback ratings and reviews (both positive and negative) on Provider and Customer performance). Such information may also be available on third-party websites. For further information about the use of your information or data, please refer to our Privacy Policy.
User acknowledges and understands that both Customers and Providers will be rated by other Customers and Providers that they work with while using the Service and that User shall receive and be entitled to give ratings and feedback regarding other users. User acknowledges that not all ratings and feedback will be positive and agrees not to bring any claims based upon ratings or feedback that they receive. User further agrees not to give slanderous or fabricated ratings and that all ratings given by User will be given in good faith based on such User’s bona fide review of such User’s experience.
User agrees to abide by all intellectual property rights of third parties (including rights of such parties in scripts, works of authorship and other written materials). If User receives any material that a reasonably prudent person would believe to be under copyright protection, User agrees to immediately destroy such materials and agrees that User shall not disseminate such materials in any manner.
The information furnished by User must be accurate, complete, and not misleading. User agrees to not misrepresent in any way, whether material or not, any aspect of User’s identity, background, skills, qualifications, credentials, regulated status, or professional standing when using the Application.
User agrees to protect the privacy and legal rights of the Providers and Customers that they work with on WeAudition.
User agrees to indemnify and hold harmless WeAudition, including its agents, affiliated companies, employees, contractors, directors, and officers, and anyone involved in creating or providing the Application, from all claims or causes of action, liabilities, damages, costs, fines, penalties, and expenses (including attorneys’ fees) occurring from or related to the use or misuse of the Application, violation of these Terms, or violations of any rights of a third party, or any allegation thereof. WeAudition reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by the User, in which event the User will cooperate in asserting any available defenses.
WeAudition IS PROVIDING THE APPLICATION AND CONTENT TO THE USER “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OR REPRESENTATIONS, EXPRESSED OR IMPLIED. THE USER IS USING THE APPLICATION AT HIS OR HER OWN RISK. TO THE FULLEST EXTENT ALLOWABLE UNDER APPLICABLE LAW, WeAudition DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES THAT THE APPLICATION IS MERCHANTABLE, RELIABLE, ACCURATE, FIT FOR A PARTICULAR PURPOSE OR NEED, NON-INFRINGING OR FREE OF DEFECTS OR ABLE TO OPERATE ON AN UNINTERRUPTED BASIS, OR THAT THE USE OF THE APPLICATION BY THE USER IS IN COMPLIANCE WITH LAWS, OR THAT USER INFORMATION TRANSMITTED IN CONNECTION WITH THE APPLICATION WILL BE SUCCESSFULLY, ACCURATELY OR SECURELY TRANSMITTED.
TO THE FULLEST EXTENT ALLOWABLE UNDER APPLICABLE LAW, IN NO EVENT SHALL WeAudition OR ITS AGENTS OR ANYONE INVOLVED IN CREATING OR PROVIDING THIS APPLICATION (A) BE LIABLE TO THE USER WITH RESPECT TO USE OF THE APPLICATION; AND/OR (B) BE LIABLE TO THE USER FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, EXEMPLARY OR OTHER DAMAGES, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, LOST PROFITS, LOSS, THEFT OR CORRUPTION OF USER-GENERATED INFORMATION, THE INABILITY TO USE THE APPLICATION, OR DEVICE FAILURE OR MALFUNCTION. THE USER’S SOLE REMEDY IS TO CEASE USE OF THE APPLICATION. WeAudition, ITS AGENTS AND ANYONE INVOLVED IN CREATING OR PROVIDING THIS APPLICATION OR CONTENT SHALL NOT BE LIABLE EVEN IF ANY OF THEM OR ANY AUTHORIZED REPRESENTATIVE OF THEM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES OR INJURY CAUSED BY ERROR, OMISSION, INTERRUPTION, DEFECT, FAILURE OF PERFORMANCE, UNAUTHORIZED USE, DELAY IN OPERATION OR TRANSMISSION, LINE FAILURE, COMPUTER VIRUS, WORM, TROJAN HORSE OR OTHER HARM.
In the event that applicable law does not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental, consequential or other damages, in no event shall WeAudition, its agents or anyone involved in creating or providing this Application or Content be liable for damages, losses, and/or causes of action exceeding the amount, if any, paid by User for use of the Application or $100, whichever is less.
WeAudition, the WeAudition logo, and other WeAudition trademarks, service marks, graphics and logos used in connection with the Application are trademarks or registered trademarks of WeAudition (collectively “WeAudition Marks”). Other trademarks, service marks, graphics and logos used in connection with the Application are the trademarks of their respective owners (collectively “Third-Party Marks”). The WeAudition Marks and Third-Party Marks may not be copied, imitated or used, in whole or in part, without the prior written permission of WeAudition or the applicable trademark holder. The Application and the Content are protected by copyright, trademark, patent, trade secret, international treaties, laws and other proprietary rights, and also may have security components that protect digital information only as authorized by WeAudition or the owner of the Content.
These Terms are governed by the laws of the State of California, United States of America, without regard to California’s conflict of laws rules. The User irrevocably consents to the exclusive jurisdiction of the state courts in Los Angeles County, California, United States of America and the federal courts in the United States District Court for the Central District of California, United States of America, for purposes of any legal action arising out of or related to the use of the Application or these Terms.
If any of these Terms shall be deemed invalid, void, or for any reason unenforceable, those terms shall be deemed severable and shall not affect the validity and enforceability of any remaining terms. Failure of WeAudition to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision in that or any other instance.
WeAudition reserves the right to change or modify these Terms or any other WeAudition terms, conditions, or policies related to use of the Application (including those identified in this agreement) at any time and at its sole discretion by posting revisions on the WeAudition website (http://www.WeAudition.com). Continued use of the Application following the posting of these changes or modifications will constitute the User’s acknowledgement and agreement to such changes or modifications. Only a specific, written waiver signed by an authorized representative of WeAudition shall have any legal effect as a waiver by WeAudition of any Terms of this Agreement.
User agrees that WeAudition service providers, licensors, or others involved in creating or providing the Application are third party beneficiaries to this End-User Agreement and may rely upon the provisions of this End-User Agreement, including but not limited to, the provisions concerning Indemnification, No Warranties, and No Liability.

BY USING THIS WEAUDITION WEBSITE, INCLUDING THE SERVICE (AS DEFINED BELOW) EMBODIED IN THE WEBSITE (COLLECTIVELY, THE “APPLICATION”), YOU (THE “USER”) ACCEPT THESE TERMS OF USE (“TERMS”). THESE TERMS CONSTITUTE A BINDING AGREEMENT, GOVERNING USE OF THE APPLICATION, BETWEEN USER AND WEAUDITION (WEREHEARSE INC), INCLUDING ITS SUBSIDIARY, RELATED, AND AFFILIATED COMPANIES (INDIVIDUALLY OR COLLECTIVELY “WEAUDITION OR WEREHEARSE”). BY DOWNLOADING, INSTALLING, OR USING THE APPLICATION, USER ACKNOWLEDGES AND AGREES TO BE BOUND BY THESE TERMS. SHOULD USER NOT ACKNOWLEDGE AND AGREE TO THESE TERMS, USER MUST IMMEDIATELY DISCONTINUE USE OF THE APPLICATION. CONTINUED USE OF THE APPLICATION SIGNIFIES YOUR CONTINUED ACCEPTANCE OF THESE TERMS AND ANY CHANGES TO THEM.
WeAudition has zero tolerance for objectionable content such as hate speech, harassment, nudity or any other act deemed as 'offensive' by another user or WeAudition staff. At our discretion we will block and delete users who we believe have breached the stated terms and conditions. WeAudition provides online software, profiles and video technology to allow Customers to connect to Providers via live video and chat for the purpose of rehearsing and honing their craft (the “Service”).
Only individuals sixteen (16) years of age or older may use the Application. Users between the ages of sixteen (16) and eighteen (18) must review these Terms with a parent or legal guardian to ensure the parent or legal guardian acknowledge and agree to these Terms. Should User’s parent or legal guardian not acknowledge and agree to these Terms, users must immediately discontinue use of the Application.
These Terms incorporate and supplement our Privacy Policy.
Should any provisions in the terms, conditions, or other policies listed above conflict with these Terms, these Terms will control, solely to the extent such provisions apply to the Application.
Subject to these Terms, WeAudition grants the User a personal, non-exclusive, non-transferable, non-sublicensable, limited and revocable license to use the Application for personal use in accordance with these Terms (“User License”). Any use of the Application in any other manner, including, without limitation, resale, reverse-engineering, disassembling, redistribution, transfer, modification or distribution of the Application or text, pictures, music, barcodes, video, data, hyperlinks, displays, and other content associated with the Application (“Content”) is prohibited. This Agreement and User License also governs any updates to, or supplements or replacements for, this Application unless separate terms accompany such updates, supplements or replacements, in which case the separate terms will apply.
The license is effective until terminated by you or WeAudition, with or without written notice. Your rights under the User License will terminate automatically without notice from WeAudition if you fail to comply with any Terms or terms of the User License. Upon termination of the license, you shall cease all use of the Application and destroy all copies, full or partial, of the Application.
A customer (the “Customer”) may use the Application to schedule rehearsals with partners. (Each referred to as a “Provider”). The Customer and Provider are each referred to as a User in the Terms.
WeAudition does not participate in the provision of advice or the creation of the content of any services offered by a third-party Provider, and does not represent or endorse and will not be responsible for: (a) the reliability or performance of any third-party Provider; (b) the safety, quality, accuracy, reliability, integrity or legality of any services offered or provided by a third-party Provider; or (c) the truth or accuracy of the description of any services offered or provided by a third-party Provider, or of any advice, opinion, offer, proposal, statement, data or other information provided by a third-party Provider displayed, distributed, or purchased through the Application.
WeAudition disclaims all liability for the actions, errors or omissions of third-party Providers.
Although WeAudition may in some instances attempt to verify certain information provided by Providers, WeAudition has no obligation to do so and makes no representations regarding the accuracy of such verification. It is the Customer’s responsibility to verify the identity, qualifications and status of a Provider.
Application features, such as mobile payments, feedback, account management, and interaction with social media sites, may use, maintain, or transmit User’s personal information, including, without limitation, user names, passwords, proper names, email address, address, location, financial information (including credit card information), GPS location information, and information for and from third-party social-media accounts (collectively “User Information”). By acknowledging and agreeing to this Agreement, or by using the Application, User consents to the transmission of User Information to WeAudition, including its agents and third-party partners, and consents to WeAudition, including its agents and third-party partners, receiving, collecting, storing, processing, transmitting, and using User Information for Application functionality and for the purposes disclosed in one or more of the Privacy Policies identified in this Agreement.
The User is, however, solely responsible for the confidentiality and security of User Information sent from or stored on their personal devices by the Application. The User is also solely responsible for all transactions and activities undertaken by anyone or anything registered in the User’s name, whether authorized or unauthorized. The User agrees to immediately notify WeAudition of any suspected unauthorized transactions associated with the Application or any other breach of security. WeAudition shall not be responsible for any losses arising from the financial loss or theft of User Information due to unauthorized or fraudulent transactions related to the Application. Users shall be solely responsible for taking precautionary steps to protect User Information stored on their personal devices, including without limitation password-protecting such devices.
You agree that WeAudition, its service providers and/or others involved in creating or providing the Application may collect and use technical data and related information—including but not limited to technical information about your device, system and application software, and peripherals—that is gathered periodically to facilitate the provision of software updates, product support, and other services to you (if any) related to the Application. WeAudition, its service providers, and/or others involved in creating or providing the Application may use this information, as long as it is in a form that does not personally identify you, to improve the Application or to provide services or technologies to you.
Use of the Application is limited to the contemplated functionality. The Application shall not be used in any way that,
WeAudition reserves the right, in its sole discretion, to terminate any User License, remove Content, assist law enforcement in the prosecution of criminal liability, or assert a civil or criminal legal action with respect to Content or use of the Application, that WeAudition reasonably believes is or might be in violation of these Terms, but failure or delay in taking such actions does not constitute a waiver of its rights to enforce these Terms.
The User may generate content, written or otherwise, while using the Application (“User-Generated Content”). User-Generated Content shall belong to User and User shall retain all ownership over such User-Generated Content. Notwithstanding the foregoing, User acknowledges and agrees that User-Generated Content may be used, reproduced, displayed, modified, deleted, added too, adapted, and published by WeAudition.
WeAudition may disclose to customers or other third parties information regarding User’s aggregate activity on WeAudition (for example, how often and how soon Provider’s respond to Customer messages on average, the number of repeat Customers that a Provider has, the average duration of each rehearsal sessions, feedback ratings and reviews (both positive and negative) on Provider and Customer performance). Such information may also be available on third-party websites. For further information about the use of your information or data, please refer to our Privacy Policy.
User acknowledges and understands that both Customers and Providers will be rated by other Customers and Providers that they work with while using the Service and that User shall receive and be entitled to give ratings and feedback regarding other users. User acknowledges that not all ratings and feedback will be positive and agrees not to bring any claims based upon ratings or feedback that they receive. User further agrees not to give slanderous or fabricated ratings and that all ratings given by User will be given in good faith based on such User’s bona fide review of such User’s experience.
User agrees to abide by all intellectual property rights of third parties (including rights of such parties in scripts, works of authorship and other written materials). If User receives any material that a reasonably prudent person would believe to be under copyright protection, User agrees to immediately destroy such materials and agrees that User shall not disseminate such materials in any manner.
The information furnished by User must be accurate, complete, and not misleading. User agrees to not misrepresent in any way, whether material or not, any aspect of User’s identity, background, skills, qualifications, credentials, regulated status, or professional standing when using the Application.
User agrees to protect the privacy and legal rights of the Providers and Customers that they work with on WeAudition.
User agrees to indemnify and hold harmless WeAudition, including its agents, affiliated companies, employees, contractors, directors, and officers, and anyone involved in creating or providing the Application, from all claims or causes of action, liabilities, damages, costs, fines, penalties, and expenses (including attorneys’ fees) occurring from or related to the use or misuse of the Application, violation of these Terms, or violations of any rights of a third party, or any allegation thereof. WeAudition reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by the User, in which event the User will cooperate in asserting any available defenses.
WeAudition IS PROVIDING THE APPLICATION AND CONTENT TO THE USER “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OR REPRESENTATIONS, EXPRESSED OR IMPLIED. THE USER IS USING THE APPLICATION AT HIS OR HER OWN RISK. TO THE FULLEST EXTENT ALLOWABLE UNDER APPLICABLE LAW, WeAudition DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES THAT THE APPLICATION IS MERCHANTABLE, RELIABLE, ACCURATE, FIT FOR A PARTICULAR PURPOSE OR NEED, NON-INFRINGING OR FREE OF DEFECTS OR ABLE TO OPERATE ON AN UNINTERRUPTED BASIS, OR THAT THE USE OF THE APPLICATION BY THE USER IS IN COMPLIANCE WITH LAWS, OR THAT USER INFORMATION TRANSMITTED IN CONNECTION WITH THE APPLICATION WILL BE SUCCESSFULLY, ACCURATELY OR SECURELY TRANSMITTED.
TO THE FULLEST EXTENT ALLOWABLE UNDER APPLICABLE LAW, IN NO EVENT SHALL WeAudition OR ITS AGENTS OR ANYONE INVOLVED IN CREATING OR PROVIDING THIS APPLICATION (A) BE LIABLE TO THE USER WITH RESPECT TO USE OF THE APPLICATION; AND/OR (B) BE LIABLE TO THE USER FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, EXEMPLARY OR OTHER DAMAGES, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, LOST PROFITS, LOSS, THEFT OR CORRUPTION OF USER-GENERATED INFORMATION, THE INABILITY TO USE THE APPLICATION, OR DEVICE FAILURE OR MALFUNCTION. THE USER’S SOLE REMEDY IS TO CEASE USE OF THE APPLICATION. WeAudition, ITS AGENTS AND ANYONE INVOLVED IN CREATING OR PROVIDING THIS APPLICATION OR CONTENT SHALL NOT BE LIABLE EVEN IF ANY OF THEM OR ANY AUTHORIZED REPRESENTATIVE OF THEM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES OR INJURY CAUSED BY ERROR, OMISSION, INTERRUPTION, DEFECT, FAILURE OF PERFORMANCE, UNAUTHORIZED USE, DELAY IN OPERATION OR TRANSMISSION, LINE FAILURE, COMPUTER VIRUS, WORM, TROJAN HORSE OR OTHER HARM.
In the event that applicable law does not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental, consequential or other damages, in no event shall WeAudition, its agents or anyone involved in creating or providing this Application or Content be liable for damages, losses, and/or causes of action exceeding the amount, if any, paid by User for use of the Application or $100, whichever is less.
WeAudition, the WeAudition logo, and other WeAudition trademarks, service marks, graphics and logos used in connection with the Application are trademarks or registered trademarks of WeAudition (collectively “WeAudition Marks”). Other trademarks, service marks, graphics and logos used in connection with the Application are the trademarks of their respective owners (collectively “Third-Party Marks”). The WeAudition Marks and Third-Party Marks may not be copied, imitated or used, in whole or in part, without the prior written permission of WeAudition or the applicable trademark holder. The Application and the Content are protected by copyright, trademark, patent, trade secret, international treaties, laws and other proprietary rights, and also may have security components that protect digital information only as authorized by WeAudition or the owner of the Content.
These Terms are governed by the laws of the State of California, United States of America, without regard to California’s conflict of laws rules. The User irrevocably consents to the exclusive jurisdiction of the state courts in Los Angeles County, California, United States of America and the federal courts in the United States District Court for the Central District of California, United States of America, for purposes of any legal action arising out of or related to the use of the Application or these Terms.
If any of these Terms shall be deemed invalid, void, or for any reason unenforceable, those terms shall be deemed severable and shall not affect the validity and enforceability of any remaining terms. Failure of WeAudition to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision in that or any other instance.
WeAudition reserves the right to change or modify these Terms or any other WeAudition terms, conditions, or policies related to use of the Application (including those identified in this agreement) at any time and at its sole discretion by posting revisions on the WeAudition website (http://www.WeAudition.com). Continued use of the Application following the posting of these changes or modifications will constitute the User’s acknowledgement and agreement to such changes or modifications. Only a specific, written waiver signed by an authorized representative of WeAudition shall have any legal effect as a waiver by WeAudition of any Terms of this Agreement.
User agrees that WeAudition service providers, licensors, or others involved in creating or providing the Application are third party beneficiaries to this End-User Agreement and may rely upon the provisions of this End-User Agreement, including but not limited to, the provisions concerning Indemnification, No Warranties, and No Liability.

This Privacy Notice sets out how we will process the personally identifying information (‘Personal Data’) that we collect and receive from and about users of our website and service www.WeRehearse.com, www.WeAudition.com and any subdomains and variations, mobile site or app (together “the Sites”).
Our privacy commitments
We will only collect, keep, use and share Personal Data for legitimate business purposes that we explain here below, or if we’re legally required to do so.

We collect the following Personal data from or about you as a WeAudition / WeRehearse member:
Personal Data collected directly from you through the signup and profile creation process:
When signing up, you are asked to provide the following information, which helps to create your profile. We store and process this data so that your completed profile can be viewed by other members in order to connect with you for rehearsals or auditions.
When you rehearse, self-tape or audition with another user, you will be sharing your voice and image through your computer’s microphone and camera if you choose to allow these options.
If you participate in the chat feature, or upload documents or scripts, you will be sharing this data and any information you submit with the other user, and this will
also be stored on our servers against your profile information.
Our legal basis for the collection and processing of this data is the provision to you of the services purchased by, or agreed to by you.
Personal Data Collected Automatically from the use by you of the Sites. The data transmitted from your browser includes your IP address, the date and time of the visit the pages accessed, the access status/HTTP status code, your browser, your operating system and interface, as well as the language and version of the browser software. The legal basis for collecting and processing this personal data is to be able to operate the Sites and provide you with access to the pages you wish to access.

For the administration of your interactions and connections on the website.

We use this to process video and sound information for your rehearsals, auditions, self-tapes and other video interactions. When you use these services, you are sharing your

We use this to process SMS text messages to you (if you have opted in) to inform you of audition notices, rehearsal requests and other important information.

We use this to enhance features of our service to provide you with realtime notifications and communications, and Pusher process your data to do that.
INTERNATIONAL DATA TRANSFERS
We use data processors located outside the European Economic Area that we are confident are also adhering to GDPR standards.
Data Security
We maintain technical and physical safeguards that are designed to protect the security and integrity of your Personal Data, and to guard it against accidental or unauthorised access, use, alteration or disclosure to unauthorised third parties. These measures include device encryption, firewalls and virus checking procedures.
Where we keep Personal Data files on local devices these devices are protected and accessible only to authorised company employees.
Duration of Storage
We will maintain records of your Personal Data for as long as you remain:
A registered subscriber to our mailing list.
A registered user of any of our Sites.
For as long as is necessary to provide our services to you.
Your Rights in Relation to Personal Data
You can update your subscription preferences or unsubscribe from our marketing communications at an time by following the link in the footer of the last email you received from us (“Update your subscription preferences” or “Unsubscribe”) or by contacting our Customer Services team.
You have the right to update and correct the personal information on your account. You also have the right to request from us all personal information that we hold that relates to you, to request restriction of the processing of that data and to request that we delete that data. Where allowed by applicable law there may be an administrative charge for supply of copies of data and we may also require you to provide us with appropriate identification before we comply with this request. Changes to our Privacy Notice
We will update this Privacy Notice from time to time to reflect changes in our business.
